Corporate and Securities Paralegal
Our client, a mid-size law firm in New York City with a large and sophisticated corporate and securities department. Seeking a full-time experienced paralegal to join our Corporate and Securities department.
Responsibilities
The candidate will assist lawyers in all stages of corporate and securities law-related matters and with the preparation of documents necessary to comply with federal and state regulations in the conduct of business activities. The candidates responsibilities will include, but are not limited to, assisting lawyers with the following:
- preparation and filing of corporate formation documents and related tasks (EINs, resolutions, stock certificates, etc.)
- administration of entities, including initial drafts of annual and quarterly state and filings, UCC filings
- maintenance of document library and legal entity and public company information database
- management of due diligence projects
- Preparation of board and committee materials and maintenance of meeting minutes
- Managing and closing corporate transactions, including stock purchases, asset acquisitions, mergers and public and private financing
- Coordination of document execution and closing document preparation
- Coordination of SEC filings, including annual, quarterly and current reports and Section 16 filings
- Form D and blue sky filings
Requirements
The ideal candidate will play a proactive role fostering collaboration, teamwork, clear communications and a solutions-oriented approach on deal teams.
- Bachelor’s degree or a paralegal certificate
- 3 years plus work experience as a paralegal in a corporate and securities department, including experience with regulatory filings related to U.S. public companies and their officers and directors
- highly proficient with Microsoft Office suite (i.e., Word, Excel, PowerPoint, Outlook) and able to learn new technology and software applications
- Excellent interpersonal, oral and written communication skills
- High motivation, strong organizational skills, heightened attention to detail
- Ability to prioritize requests under time pressure and handle multiple, detailed tasks efficiently
